1. Introduction and Acceptance of Terms
Welcome to Capabo. These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you," or "your") and Humani Labs ("Company," "we," "us," or "our") governing your access to and use of Capabo, available at capabo.ai, and any related websites, applications, and services we provide (collectively, the "Service").
Please read these Terms carefully. By creating an account, logging in, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Service.
2. Description of the Service and Beta Use
2.1 Description of Service
The Service is a learning operating system designed to help people turn goals, curiosity, and ambition into real projects, and to turn the traces of that work into evidence of capability. Through the Service, we hope to encourage a thoughtful way of using AI to explore any subject, build stronger learning habits, and improve AI literacy.
The Service may include:
- personalized learning paths based on your goals, background, and progress;
- project-driven learning from basic concepts to capstone projects;
- always-on AI learning companion agents for diagnostics, building, evaluation, and feedback.
2.2 Beta Service
The Service is currently provided as a beta product. We are still improving the product, and changing how the system works. You understand that beta features may be incomplete, experimental, unavailable, inaccurate, or changed at any time.
We may modify, suspend, deprecate, or discontinue any part of the Service with or without notice. While we try to preserve your learning history and uploaded materials where the product supports it, you should not rely on the Service as the only place where important work, documents, or project files are stored. Please keep your own backups.
2.3 Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice through the Service, by email, or by another reasonable method. Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
3. Eligibility and Accounts
3.1 Age Requirement
The Service is intended only for users who are 18 years of age or older. By using the Service, you represent that you are at least 18. If you are under 18, you may not use the Service.
3.2 Authentication
You may create an account using Google login or standard email login. If you use Google login, you authorize us to receive limited Google profile information, such as your name, email address, and profile image if provided by Google, as described in our Privacy Policy.
You are responsible for keeping your account secure and for all activity under your account. Please tell us promptly if you believe your account has been compromised.
4. Acceptable Use
You agree to use the Service lawfully and responsibly. You may not use the Service to:
- violate laws, regulations, third-party rights, school policies, employer policies, or platform rules;
- upload materials you do not have the right to use;
- plagiarize, cheat, impersonate others, or misrepresent your work;
- generate, upload, or share harmful, abusive, deceptive, discriminatory, sexual, violent, or unlawful content;
- attempt to bypass safety systems, usage limits, authentication, or security controls;
- reverse engineer, scrape, overload, disrupt, or interfere with the Service;
- introduce malware, malicious code, or security vulnerabilities;
- use the Service for high-risk activities where failure or inaccurate output could cause serious harm;
- build a competing product by copying the Service, its workflows, prompts, evaluations, or proprietary materials.
We may suspend or terminate access if we believe you have violated these Terms or created risk for other users, the Service, or Humani Labs.
5. Intellectual Property and Content Ownership
5.1 Your Inputs and Uploaded Materials
You keep ownership of the content you submit, upload, import, create, or share through the Service, including goals, prompts, messages, notes, papers, course materials, resumes, project files, code, links, feedback, and learning traces ("User Content").
By submitting User Content, you grant Humani Labs a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, analyze, display, and use your User Content as reasonably necessary to:
- provide, maintain, personalize, and improve the Service;
- generate learning paths, AI responses, diagnostics, evaluations, and feedback;
- operate memory, progress, safety, security, moderation, debugging, billing, and support systems;
- develop and improve our learning, evaluation, memory, and agent systems for the Service.
We may use your interactions, feedback, and learning traces to improve Capabo. We will not sell your private uploaded documents, resume, or private project materials to third parties. We will not use your private materials in public marketing or public examples without your permission. We will not use your private uploaded documents, resumes, or project files to train general-purpose AI models made available outside the Service unless we first obtain any required consent from you.
5.2 Uploaded Third-Party Materials
You are responsible for the materials you upload. Uploading a paper, course note, resume, employer document, school material, or other file does not give you ownership of that material if you do not already have it. Do not upload confidential, proprietary, copyrighted, regulated, or third-party materials unless you have the right to do so.
We may remove or restrict access to materials that we believe violate these Terms, applicable law, or the rights of others.
5.3 AI Outputs
The Service may generate learning paths, explanations, feedback, evaluations, project ideas, plans, code suggestions, and other outputs ("Outputs"). To the extent permitted by law, we do not claim ownership of Outputs generated for you, subject to these Terms.
You understand that generative AI is probabilistic. Other users may receive the same or similar Outputs, especially for common topics, public knowledge, standard explanations, or similar learning goals. You are responsible for reviewing Outputs before relying on, submitting, publishing, or sharing them.
5.4 Company Rights
All rights, title, and interest in and to the Service, including the software, interfaces, designs, workflows, prompts, evaluation methods, learning structures, documentation, models, systems, and brands, are owned by Humani Labs or its licensors. These Terms do not grant you any right to use our trademarks, trade secrets, or proprietary materials except as needed to use the Service as permitted by these Terms.
6. AI Disclaimers and User Responsibility
AI systems can produce incorrect, incomplete, outdated, biased, or inappropriate results. The Service is intended to support learning, project-building, and reflection; it is not a substitute for your own judgment.
The Service is not an accredited school, university, employer, recruiter, career counselor, legal advisor, medical advisor, financial advisor, or professional certification body unless we separately say so in writing. The Service may help you build stronger projects and prepare evidence of your work, but educational, professional, hiring, admission, income, or career decisions are made by you and third parties outside our control.
You are responsible for verifying important information, reviewing your work, and deciding how to use Outputs. We believe that this process of checking, choosing, and improving is part of real learning: it helps you build judgment and taste, rather than bypass them.
7. Subscriptions, Billing, and Cancellation
We may offer paid subscriptions. Prices, billing periods, included features, renewal terms, and any applicable taxes will be shown before purchase.
Payments are processed by Stripe or its affiliates. We do not directly store your full payment card number. Your payment information is handled by Stripe according to Stripe's terms and privacy policy.
Subscriptions may renew automatically unless you cancel before the renewal date. You are responsible for canceling through the account settings, Stripe billing portal, app store, or other cancellation flow we provide.
Unless required by law or expressly stated otherwise at purchase, payments are non-refundable. If you cancel a paid subscription, you will continue to have access to the paid features through the end of your current paid subscription period, and your subscription will not renew after that period.
8. Third-Party Services
The Service may rely on third-party services, including authentication providers, hosting providers, payment processors, analytics tools, AI model providers, email providers, and customer-support tools. Your use of those services may also be subject to their own terms and policies.
We are not responsible for third-party services we do not control.
9. Copyright and DMCA Policy
We respect intellectual property rights and expect users to do the same. We will respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act ("DMCA") and may remove or disable access to allegedly infringing material.
If you believe content on the Service infringes your copyright, please send a notice to:

Your notice should include:
- your physical or electronic signature;
- identification of the copyrighted work you claim was infringed;
- identification of the material you claim is infringing and where it appears;
- your contact information;
- a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law;
- a statement that the information in your notice is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner.
If you believe your material was removed by mistake or misidentification, you may send us a counter-notice containing the information required by law. We may terminate accounts of repeat infringers in appropriate circumstances.
10. Feedback
We welcome feedback. If you send us ideas, suggestions, comments, or feedback about the Service, you grant Humani Labs the right to use them without restriction or compensation to you.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANI LABS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your requirements, be uninterrupted, secure, error-free, accurate, or available at all times, or that AI-generated content will be correct, complete, current, or suitable for your specific situation.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUMANI LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, LOST GOODWILL, OR BUSINESS INTERRUPTION.
To the maximum extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of: (a) the amount you paid to Humani Labs for the Service in the 3 months before the event giving rise to the claim; or (b) USD $100.
Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Humani Labs and its affiliates, officers, employees, contractors, agents, licensors, and service providers from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of law or third-party rights; or (e) your use of Outputs.
14. Dispute Resolution and Class Action Waiver
14.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
14.2 Informal Resolution
We want to address concerns without a formal legal case whenever possible. Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@capabo.ai.
14.3 Arbitration Agreement
If we cannot resolve the dispute informally, you and Humani Labs agree to resolve any claims relating to these Terms or the Service through final and binding arbitration, except where applicable law does not permit arbitration. The Federal Arbitration Act governs the interpretation and enforcement of this provision.
14.4 Arbitration Procedures
The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration will be conducted by a single, neutral arbitrator. Any required arbitration hearing may be conducted by telephone, by video conference, or in Alameda County, California.
14.5 Exceptions
Either party may bring qualifying claims in small claims court. Either party may also seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, security systems, or unauthorized use of the Service.
14.6 Class Action and Jury Trial Waiver
You and Humani Labs agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial.
15. General Provisions
These Terms and our Privacy Policy are the entire agreement between you and Humani Labs regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent. We may assign these Terms as part of a merger, acquisition, financing, reorganization, sale of assets, or by operation of law.
